Introduction

Welcome to the terms of use for Meshmonk, a virtual reality application (the “App”) provided by Meshmonk Inc. These terms of use govern your use of the App. By using the App, you agree to these terms of use.

App Use

The App is intended for use only by individuals who are 13 years of age or older. If you are under 13, you may not use the App.

The App is provided for your personal, non-commercial use only. You may not use the App for any commercial purpose, or for any purpose that is unlawful or prohibited by these terms of use.

User Content

The App allows you to upload or otherwise provide content, including text, images, videos, and other materials (collectively, “User Content”). You own all rights to any User Content that you provide to the App, and you are solely responsible for that User Content.

By providing User Content to the App, you grant Meshmonk Inc a non-exclusive, transferable, sub-licensable, royalty-free, worldwide license to use, copy, modify, create derivative works based on, distribute, publicly display, publicly perform, and otherwise exploit in any manner such User Content in all formats and distribution channels now known or hereafter devised (including in connection with the App and Meshmonk Inc’s business and on third-party sites and services), without further notice to or consent from you, and without the requirement of payment to you or any other person or entity.

You represent and warrant that: (i) you either are the sole and exclusive owner of all User Content or you have all rights, licenses, consents, and releases that are necessary to grant to Meshmonk Inc the rights in such User Content, as contemplated under these terms of use; and (ii) neither the User Content nor your submission, uploading, publishing, or otherwise making available of such User Content, nor Meshmonk’s use of the User Content as permitted herein will infringe, misappropriate, or violate a third party’s patent, copyright, trademark, trade secret, moral rights, or other proprietary or intellectual property rights, or rights of publicity or privacy, or result in the violation of any applicable law or regulation.

You agree that you will not provide any User Content that is defamatory, libelous, hateful, violent, obscene, pornographic, unlawful, or otherwise offensive, as determined by Meshmonk Inc in its sole discretion, whether or not such material may be protected by law.

User Conduct

You agree to use the App only for lawful purposes and in accordance with these terms of use. You agree not to use the App:

In any way that violates any applicable federal, state, local, or international law or regulation.
To engage in any conduct that restricts or inhibits anyone’s use or enjoyment of the App, or which, as determined by Meshmonk Inc, may harm Meshmonk Inc or users of the App, or expose them to liability.
To impersonate or attempt to impersonate Meshmonk Inc, a Meshmonk Inc employee, another user, or any other person or entity.
To transmit, or procure the sending of, any advertising or promotional material, including any “junk mail,” “chain letter,” “spam,” or any other similar solicitation.
To engage in any other conduct that Meshmonk Inc determines, in its sole discretion, to be inappropriate or harmful to the App, Meshmonk Inc, or any third party.

Intellectual Property

The App and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof), are owned by

Meshmonk Inc is the sole owner of all intellectual property rights, including but not limited to patents, trademarks, copyrights, trade secrets, and all other proprietary rights, in the [Virtual Reality Application Name] application (the “App”). The App is protected by applicable intellectual property laws, including United States and international copyright laws and treaty provisions.

All trademarks, service marks, trade names, logos, and other designations used in connection with the App are owned by Meshmonk Inc, its affiliates, or its licensors. You may not use any of these marks without the prior written consent of Meshmonk Inc.

You acknowledge and agree that all materials contained in the App, including but not limited to text, graphics, photographs, images, sound, and video, are owned or licensed by Meshmonk Inc and are protected by applicable intellectual property laws. You may not copy, reproduce, distribute, transmit, display, publish, or create derivative works of any part of the App or its content without the prior written consent of Meshmonk Inc.

You acknowledge and agree that Meshmonk Inc may, in its sole discretion, modify or remove any content or other materials from the App at any time, without notice to you.

You agree that you will not use the App in any way that infringes the intellectual property rights of Meshmonk Inc or any third party. If you believe that your intellectual property rights have been infringed by the App or its content, please contact Meshmonk Inc at [contact email address] with a detailed description of the alleged infringement.

By using the App, you agree that Meshmonk Inc may use any suggestions, ideas, feedback, or other information you provide to Meshmonk Inc in connection with the App or its services without any obligation to compensate you or anyone else for such use.

Indemnification

You agree to indemnify, defend, and hold harmless Meshmonk Inc, its affiliates, and their respective officers, directors, employees, agents, licensors, and suppliers from and against all claims, liabilities, losses, expenses, damages, and costs, including reasonable attorneys’ fees, arising from or relating to your use of the App, your violation of these Terms, or your infringement of any intellectual property or other rights of any person or entity.

Meshmonk Inc reserves the right to assume, at its own expense, the exclusive defense and control of any matter subject to indemnification by you, in which event you will cooperate with Meshmonk Inc in asserting any available defenses.

This indemnification obligation will survive these Terms and your use of the App.

Modifications to Terms

Meshmonk Inc reserves the right, at its sole discretion, to modify or replace any part of these Terms at any time. It is your responsibility to check these Terms periodically for changes. Your continued use of the App following the posting of any changes to these Terms constitutes acceptance of those changes.

Meshmonk Inc may also, in the future, offer new services and/or features through the App. Such new features and/or services will be subject to these Terms, unless explicitly stated otherwise.

Meshmonk Inc may terminate or suspend access to the App immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.
